Terms of Service

1. The Service

Cabrini ("Cabrini," "we," "us") provides historical US equity market data — intraday OHLCV bars, expressed both as absolute price levels and as change from the daily open, daily OHLCV bars and VWAP, SEC-derived fundamentals, filings, insider data, and related analytics — through a pay-per-query API (the "Service"). Payment is made in USDC on the Base network using the x402 protocol. The data, in any form returned by the Service, together with our compilations, schemas, and derived analytics, is the "Data."

2. Acceptance

By sending requests to the Service — directly, through an AI agent acting on your behalf, or over MCP, A2A, or any other protocol — you accept these terms. If you deploy an agent that uses the Service, you are responsible for that agent's use as if it were your own, and you represent that you have authority to bind the person or entity operating it. If you do not accept these terms, do not use the Service.

3. Your license

Upon payment for a query, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Data returned by that query for your internal purposes, meaning:

  1. research, analysis, backtesting, and model development or training conducted by you or within your organization;
  2. powering features of your own application or agent, provided the Data itself is not exposed to your users in bulk or as a data feed (see Section 5);
  3. storing and caching Data you have paid for, for your own continued internal use.

All rights not expressly granted are reserved by Cabrini.

4. Restrictions — no resale or redistribution

Except with our prior written permission (Section 6), you may not, directly or indirectly:

  1. resell, relicense, rent, lease, or charge for access to the Data or any portion of it;
  2. redistribute, republish, retransmit, or disseminate the Data — including via APIs, data feeds, file downloads, databases, torrents, or public repositories — whether modified or unmodified, free or paid;
  3. recreate or substitute for the Service: systematically extract, download, or accumulate Data to build, populate, or enhance any dataset, database, or product that replicates or competes with the Service in whole or in part;
  4. provide the Data to any third party as a standalone product or as the substantially complete input to a third-party product;
  5. remove, obscure, or falsify any indication of the Data's source;
  6. use the Service in violation of applicable law, or represent that Cabrini endorses any output or product you build.

Payment for queries — at any volume — buys a license to use the Data under these terms. It does not transfer ownership and does not create redistribution rights, regardless of how much you have paid.

5. Derived data and permitted outputs

You may create and freely use, publish, or sell works derived from the Data, provided the Data cannot be reverse-engineered or reconstructed from them. Permitted, for example:

  1. trading signals, indicators, model weights, statistics, forecasts, and research conclusions computed from the Data;
  2. charts, visualizations, and written analysis that include insubstantial excerpts of the Data (individual values or small illustrative samples) with attribution to cabrini.ai;
  3. aggregate results that do not disclose the underlying bar-level or filing-level Data.

The test is substitution: if a third party could use your output in place of querying the Service, it is redistribution and requires permission. If it is a genuinely transformed work product, it is yours.

6. Redistribution by permission

Want to redistribute, embed a data feed, or build a product that exposes the Data to your customers? We license that — often on simple terms. Write to [email protected] with a description of the use case before you build. Redistribution without written permission is a material breach of these terms.

7. Payments

  1. Pricing disclosed up front. Every paid request receives a 402 response quoting the exact price before payment. Prices vary by endpoint and request size and may change at any time; the quoted price governs that request.
  2. Payments are final. On-chain settlement is irreversible by design. We do not offer refunds, reversals, or chargebacks, including for dissatisfaction with returned Data. Our settle-after-serve design means failed queries are not charged.
  3. Your wallet, your responsibility. You are solely responsible for your keys, gas, and network selection. We are not liable for funds lost to incorrect addresses, wrong networks, duplicate settlements, or third-party payment infrastructure failures.
  4. Taxes. You are responsible for any taxes arising from your use of the Service.

8. Not investment advice

The Data is historical market information provided for informational purposes only. It is not financial, investment, legal, tax, or accounting advice, and no recommendation of any security or strategy is made or implied. Data may be delayed, incomplete, or contain errors; corporate-action adjustments and fundamentals are derived from third-party and public sources and may not reflect subsequent corrections. You bear all responsibility for decisions made using the Data.

9. Access, rate limits, and fair use

  1. Unpaid requests (discovery, 402 probes, free endpoints) are limited to thirty per minute per IP. Paid requests are not rate-limited.
  2. Automated and agent access is the intended use of the Service. However, access techniques that bypass the payment layer — scraping, exploiting caching behavior, or probing for unpaid data paths — are prohibited.
  3. We may adjust limits, endpoints, and pricing at any time without notice.

10. Enforcement

We may suspend or block access — by IP, wallet address, or other identifier, without notice or refund — for any breach of these terms, attempted abuse of payment flows, attempts to overload the Service, or activity we reasonably believe is unlawful or harms the Service or other users. We may also pursue any other available remedy; blocking is not a waiver of damages for breach, and you agree that unauthorized redistribution may cause harm not adequately remedied by damages alone, entitling us to seek injunctive relief.

11. Intellectual property

The Service, the Data as compiled, selected, arranged, normalized, and derived by us, and all associated software, documentation, and branding are owned by Cabrini and protected by copyright, database, trade secret, and other intellectual property rights. Nothing in these terms transfers any ownership interest to you. Underlying market facts are not claimed as proprietary; our compilation, transformation, and delivery of them are.

12. Warranty disclaimer

THE SERVICE AND THE DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. PAYING FOR A QUERY DOES NOT CREATE ANY WARRANTY.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CABRINI AND ITS OPERATORS, OFFICERS, AND SUPPLIERS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR TRADING LOSSES, ARISING FROM OR RELATING TO THE SERVICE OR THE DATA, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF ONE HUNDRED US DOLLARS OR THE AMOUNTS YOU PAID FOR QUERIES DURING THAT PERIOD.

14. Indemnification

You will defend, indemnify, and hold harmless Cabrini and its operators from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service or the Data, your breach of these terms, the actions of agents or software you operate, or products and services you build using the Data.

15. Termination and survival

You may stop using the Service at any time. We may terminate or suspend the Service or your access at any time. Upon termination for your breach of Sections 4–6, your license to previously obtained Data ends and you must delete Data in your possession, except derived works permitted by Section 5. Sections 4–6 and 8–18 survive termination.

16. Changes

We may modify the Service and these terms at any time. The current terms are always at cabrini.ai/terms with the effective date above; material changes take effect when posted. Your continued use after posting constitutes acceptance. Automated consumers should treat the effective date on this page as the version identifier.

17. Governing law and disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. To the extent permitted by law, each party waives trial by jury, and claims must be brought individually — not as a plaintiff or class member in any class or representative proceeding — within one year of accrual.

18. General

These terms are the entire agreement between you and Cabrini regarding the Service and supersede prior agreements on the subject. If any provision is held unenforceable, it will be limited to the minimum extent necessary and the remainder will stay in effect. Our failure to enforce a provision is not a waiver. You may not assign these terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
